（香港，2022 年 10 月 3 日）長江和記實業有限公司（「長江和記」）注意到近日有傳媒報導有關 3 英國與 Vodafone 英國的市場傳聞。

長江和記確認集團正與 Vodafone 集團（「Vodafone」）就合併3英國與 Vodafone 英國進行洽談。

預計交易將合併雙方在英國的業務，長江和記將持有合併公司的 49%，而 Vodafone 則持 51% 股權。交易完成時，雙方的相對股權將透過差異式槓桿債權注資而取得，當中並不涉及以現金支付作價。

英國政府視 5G 為促進經濟社會變革的動力，對該地在日益數碼化的世界中提升競爭力至關重要。英國需要培育確保市場具良性競爭的環境，否則會錯失5G領導地位的機會。誠如英國通訊管理局所指，部分營運商（3 英國和 Vodafone 英國）欠缺必需的規模，因而未能賺回其資本成本。

透過合併，3 英國及 Vodafone 英國將具備所需規模，可加快 5G 網絡推進的步伐，並擴展寬頻連接至農村社區和小型商企。

合併公司將有力挑戰英國兩家早已整合的營運商，為消費者帶來裨益，令他們得以相宜的價格選用覆蓋全英的第三個可靠、高質及安全的 5G 網絡。

兩家公司最終能否就潛在交易的條款或架構達成協議仍未得知，故目前未能確定任何交易。
